Current Report No. 3/2025 – ESPI – Fulfilment of Conditions Precedent for the Power Purchase Agreement

The Management Board of R.Power S.A. (the “Issuer”), with reference to Current Report No. 2/2025 dated February 3, 2025, regarding the conclusion of a conditional package of agreements for the sale of electricity and guarantees of origin related to electricity generated from renewable energy sources (the “PPA Package”) between companies belonging to the Issuer’s Capital Group (the “Subsidiaries”) and McDonald’s Polska sp. z o.o., hereby informs that on February 4, 2025, it received information on the fulfillment of the conditions precedent, i.e., the signing of the PPA Package by all members of McDonald’s purchasing group – franchisees and suppliers (the “Remaining Members of the Purchasing Group”) and the receipt of the necessary approvals.

As a result of the fulfillment of the conditions precedent prior to the deadline, the PPA Package enters into force on the date the conditions were fulfilled, i.e., February 4, 2025.
