Raport bieżący 4/2023 – ESPI – Zgoda Prezesa UOKiK w przedmiocie koncentracji

Zarząd spółki R.Power S.A. („Spółka”) informuje, że w dniu dzisiejszym powziął informację o doręczeniu decyzji Prezesa UOKiK wyrażającej zgodę na koncentrację. Wyrażenie zgody przez Prezesa UOKiK było warunkiem zawieszającym do dalszej realizacji transakcji, polegającej na nabyciu mniejszościowego pakietu akcji Spółki przez spółkę celową utworzoną przez fundusz Three Seas Initiative Investment Fund S.A. SICAV-RAIF („3SIIF”) – o czym Spółka informowała w raporcie bieżącym ESPI 2/2023 z dnia 10 lutego 2023 roku. W zamian, 3SIIF zainwestuje 150.000.000,00 EUR (słownie: sto pięćdziesiąt milionów euro) w Spółkę, z możliwością dalszego zwiększenia inwestycji do łącznie 250.000.000,00 EUR (słownie: dwieście pięćdziesiąt milionów euro). Środki z objęcia nowych akcji zostaną przeznaczone w głównej mierze na realizację kolejnych faz rozwoju Grupy R.POWER w Polsce oraz na rynkach europejskich takich jak Hiszpania, Niemcy, Portugalia, Rumunia i Włochy.

Current report 4/2023 – ESPI – Approval of the President of the Office of Competition and Consumer Protection for concentration.

The Management Board of R.Power S.A. „Company” announces that today receive information that today the decision of the President of the Office of Competition and Consumer Protection (Prezes Urzędu Ochrony Konkurencji i Konsumentów) approving the concentration has been delivered. The approval of the President of the Office of Competition and Consumer Protection was a condition precedent to the further implementation of the transaction involving the acquisition of a minority stake in the Company by a special purpose vehicle established by Three Seas Initiative Investment Fund S.A. SICAV-RAIF („3SIIF”) – the information about transaction was released in current report ESPI 2/2023 dated on 10th February 2023. In return, 3SIIF will invest EUR 150,000,000.00 (in words: one hundred and fifty million euros) in the Company, with the possibility of further increasing the investment to a total of EUR 250,000,000.00 (in words: two hundred and fifty million euros). The funds from the subscription of new shares will primarily be reinvest into the next development phases of the R.POWER Group in Poland and in European markets such as Spain, Germany, Portugal, Romania and Italy.
